This Terms & Conditions document applies to Kaylas Konsulting, a professional consulting firm that helps service-based businesses grow using AI-powered solutions. Contact details are provided above.

Website Usage

You must be at least eighteen (18) years old to use our services. By accessing or using our website or services, you agree to abide by these Terms. You agree not to use the website or services for any unlawful or prohibited purpose. Acceptable use includes accessing our content, scheduling services, purchasing products, registering for workshops, and participating in our community.

Acceptable Use and Account Security

You agree to provide accurate, current and complete information when creating an account or registering for events. You agree not to share your account credentials and to maintain the security of your account.

Prohibited activities include:

• Uploading malicious software

• Violating intellectual property rights

• Sending spam or unsolicited messages

• Attempting unauthorized access to systems or accounts

AI Services Disclosure

Some of our Services utilize artificial intelligence. AI-generated outputs may contain errors or inaccuracies. Human review is recommended, and we do not guarantee the accuracy of AI outputs.

Workshop & Event Language

Registration terms: Payment must be received to secure your seat. Participants must follow event rules and respectful conduct.

We may record workshops, webinars, trainings, coaching sessions, and events for educational, operational, quality assurance, and promotional purposes.

By attending an event, participants consent to such recording and acknowledge that their image, likeness, voice, comments, or participation may appear in recordings.

If a participant does not wish to appear in recordings, they should notify Kaylas Konsulting prior to the event. Reasonable efforts will be made to accommodate such requests when practical.

Cancellation policies are detailed in our Refund & Cancellation Policy.

All workshop materials remain the property of Kaylas Konsulting and may not be redistributed without written permission.

Lead Generation Disclaimers

Marketing and lead-generation results vary. We do not guarantee lead volume, sales conversions, appointment bookings, revenue increases, or specific business outcomes.

Payments

All fees are stated in U.S. Dollars.

Setup fees are due before work begins. Work begins when we receive your initial payment. Monthly services are billed in advance.

All fees are non-refundable once work has commenced.

Late Payments:

If payment is not received within thirty (30) days of the invoice date, a late fee of 1.5% per month (18% annually), or the maximum amount permitted by law, whichever is less, may be charged.

Failure to make timely payments may result in suspension or termination of services.

Intellectual Property Protection

We own all intellectual property, including:

• Templates

• Workflows

• Funnels

• AI prompts

• Training materials

• CRM frameworks

• Standard operating procedures

You may not copy, reproduce, distribute, modify, license, or sell our proprietary materials without prior written consent.

Limitation of Liability

To the fullest extent permitted by law, Kaylas Konsulting shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to lost profits, lost revenue, data loss, business interruption, third-party failures, or other losses arising from the use of our Services.

This limitation expressly includes losses that are outside of our control, including but not limited to cybersecurity attacks that occur without any negligence on the part of Kaylas Konsulting.

Indemnification

You agree to indemnify and hold harmless Kaylas Konsulting, its owners, officers, directors, contractors, employees, and affiliates from any claims, liabilities, damages, losses, expenses, or legal fees arising from:

• Your use of the Services

• Your violation of these Terms

• Your violation of applicable laws or regulations

Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted under the laws of the State of South Carolina.

The parties agree to attempt good-faith negotiation prior to filing legal action.

If negotiations fail, disputes shall first be submitted to mediation in South Carolina.

If mediation does not resolve the dispute within sixty (60) days after the mediator is appointed, the dispute shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall take place in South Carolina, and South Carolina law shall govern the dispute without regard to conflict of law principles.

Force Majeure

Kaylas Konsulting shall not be liable for delays or failures in performance resulting from events beyond its reasonable control, including but not limited to:

• Internet outages

• Platform failures

• Software outages

• Telecommunications failures

• Third-party service interruptions

• Natural disasters

• Government actions

• Labor disputes

• Pandemics

• Acts of God

• Cybersecurity incidents
